About These Terms
These Terms & Conditions of Sale govern the sale of products and services by LCOM Ltd, trading as Tek Direkt, through tekdirekt.uk.
By placing an order with us, you agree that your purchase will be subject to these Terms & Conditions of Sale, together with our Shipping Policy, Returns & Refund Policy, and any applicable product-specific, manufacturer, distributor or supplier terms referred to on our website or otherwise made available to you.
Together, these documents form the entire agreement between you and LCOM Ltd trading as Tek Direkt in relation to your purchase, unless we agree otherwise in writing.
Tek Direkt primarily supplies products to businesses, public sector organisations and professional users throughout the United Kingdom. We also accept orders from Home Users, whose statutory consumer rights are fully respected.
These Terms explain the different rights and obligations that apply to Home Users and Business Customers.
Customer Status
When placing an order, you must ensure that you are purchasing in the correct capacity.
A Home User is an individual acting wholly or mainly outside their trade, business, craft or profession.
A Business Customer includes companies, partnerships, sole traders, public bodies, charities, institutions, or any individual acting wholly or mainly for business, trade, professional or organisational purposes.
If you provide a business name, VAT number, business billing details or use business payment methods, we may treat you as a Business Customer unless you clearly notify us before the contract is formed that you are purchasing as a Home User.
Different rights and remedies apply depending on whether you are purchasing as a Home User or a Business Customer.
Basis of Contract
All orders placed with Tek Direkt are subject to these Terms & Conditions of Sale, our Shipping Policy, Returns & Refund Policy, and any applicable product-specific, supplier, distributor, manufacturer or third-party terms that apply to the goods or services ordered.
Many products sold by Tek Direkt are supplied on a back-to-back basis through authorised manufacturers, distributors and suppliers. Products may be fulfilled from UK or European distribution centres depending on availability.
Product availability, pricing, lead times, warranties, fulfilment arrangements and return rights may therefore be subject to manufacturer, distributor or supplier requirements. Certain products may be non-cancellable or non-returnable, and manufacturer or supplier conditions may affect warranties, returns procedures, remedies or support available in relation to a product.
By placing an order, you acknowledge and accept that these manufacturer, distributor and supplier requirements may apply.
Order Acceptance
Your order constitutes an offer to purchase products or services from us.
We may accept or reject any order at our discretion, including where:
Products are unavailable
Pricing or listing errors have occurred
Supplier conditions have changed
Payment cannot be authorised
Fraud or misuse is suspected
We reasonably believe we are unable to fulfil the order
A binding contract is only formed when we issue an order confirmation, dispatch confirmation, invoice or otherwise confirm acceptance of your order.
Until that point, we are under no obligation to supply the products.
Pricing
We take reasonable care to ensure that pricing and product information displayed on our website is accurate. However, errors may occasionally occur.
If we discover a material pricing error before accepting your order, we may cancel the order or offer the product at the correct price.
If you choose not to proceed, any payment already taken will be refunded in full.
The price shown during checkout is the price payable for accepted orders.
Payment
Payment must be made using one of the payment methods made available during checkout unless alternative payment terms have been agreed in writing.
Payment is normally taken when your order is placed.
Orders will not be accepted, processed or dispatched until payment has been successfully authorised.
We reserve the right to refuse or cancel any order where payment cannot be authorised or where fraud or misuse is suspected.
Where credit facilities have been agreed with a Business Customer, payment must be made in accordance with the agreed payment terms.
All prices are shown in Pounds Sterling (GBP). Where applicable, prices include UK VAT unless otherwise stated.
Delivery
Delivery dates, dispatch estimates and lead times are provided for guidance only unless we expressly agree otherwise in writing.
Some products are dispatched directly from manufacturers, authorised distributors or suppliers, and delivery times may vary depending on stock availability and supplier lead times.
We do not guarantee delivery by any particular date unless expressly confirmed in writing.
Risk in the goods passes to you upon delivery, or where you fail to take delivery, at the point delivery would otherwise have taken place.
Ownership of the goods remains with Tek Direkt until payment has been received in full.
You are responsible for inspecting goods promptly upon delivery and reporting shortages, visible damage or incorrect items within the timeframes set out in our Shipping Policy and Returns & Refund Policy.
Events Outside Our Control
We shall not be liable for any delay in performing, or failure to perform, any obligation under these Terms where the delay or failure results from circumstances beyond our reasonable control.
These circumstances include, but are not limited to:
Severe weather
Industrial action
Transport disruption
Supplier shortages
Utility failures
Cyber incidents
Government action
Pandemics
Natural disasters
War
Terrorism
Other force majeure events
Where such circumstances arise, we will make reasonable efforts to minimise disruption and keep affected customers informed.
Returns & Cancellations
All returns, cancellations and refunds are governed by our Returns & Refund Policy.
Home Users may have statutory cancellation rights under UK consumer law, subject to the exclusions and conditions explained in that policy.
Business Customers do not have automatic cancellation rights. Change-of-mind returns are accepted solely at Tek Direkt's discretion unless goods are faulty or otherwise required by law to be accepted.
Approved Business Customer returns may be subject to applicable manufacturer, distributor or supplier restocking charges, handling charges, cancellation charges or other reasonable costs incurred in processing the return.
Where applicable, any such charges will be advised before a return is authorised.
Certain products are non-cancellable and non-returnable, including:
Special-order products
Configured or customised products
Software and licences once supplied or activated
Cloud or subscription services once provisioned
Any products identified as non-returnable before dispatch
Product Suitability
You are responsible for ensuring that the products you order are suitable for your intended use and compatible with your equipment, systems and software.
We recommend checking product specifications before placing your order.
Products must be used in accordance with the manufacturer's instructions.
Except where prohibited by law, we are not liable for issues arising from misuse, incompatibility, improper installation or failure to follow manufacturer guidance.
Manufacturer Warranty
Most products supplied by Tek Direkt benefit from the manufacturer's standard warranty.
Warranty periods and terms vary by manufacturer and product.
Warranty claims may require inspection, testing or repair by the manufacturer or an authorised service provider.
In some cases, we may assist in facilitating warranty claims, although this remains subject to the manufacturer's or supplier's procedures.
Manufacturer warranties do not normally cover accidental damage, misuse, unauthorised modification, improper installation or normal wear and tear.
Nothing in this section affects your statutory rights.
Limitation of Liability
Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for:
Fraud or fraudulent misrepresentation
Death or personal injury caused by negligence
Any liability that cannot legally be excluded
If you are a Business Customer, to the fullest extent permitted by law, Tek Direkt shall not be liable for indirect or consequential losses including loss of profit, revenue, contracts, goodwill, anticipated savings or data.
Our total liability to a Business Customer shall not exceed the amount paid for the relevant order.
Nothing in this section affects the statutory rights of Home Users.
Data Security
Before returning any device for repair or warranty service, you are responsible for backing up your data and removing any confidential or personal information wherever possible.
Tek Direkt is not responsible for any loss of data arising during repair, replacement or warranty processing except where required by law.
Governing Law
These Terms & Conditions are governed by the laws of England and Wales.
Business Customers agree that the courts of England and Wales shall have exclusive jurisdiction.
Home Users retain any mandatory consumer rights relating to jurisdiction under applicable UK consumer legislation.
Acceptance
By placing an order, you confirm that you have read and agree to these Terms & Conditions of Sale together with our Shipping Policy and Returns & Refund Policy.
You acknowledge the distinction between Home User and Business Customer rights and accept any applicable manufacturer, distributor or supplier requirements, including lead times, return conditions and product restrictions.
If you place an order as a Business Customer, you further acknowledge that discretionary returns may be subject to manufacturer or supplier approval, applicable restocking charges and other reasonable return-related costs.
