About these terms

These Terms & Conditions of Sale govern the sale of products and services by LCOM Ltd, trading as Tek Direkt, through tekdirekt.uk.

By placing an order with us, you agree that your purchase will be subject to these Terms & Conditions of Sale, together with our Delivery, Returns, Refunds and Cancellation Policy, and any applicable product-specific, manufacturer or supplier terms referred to on our website or otherwise made available to you.

Together, these documents form the entire agreement between you and LCOM Ltd trading as Tek Direkt in relation to your purchase, unless we agree otherwise in writing.

 


Customer status

When placing an order, you must ensure that you are purchasing in the correct capacity.

A Home User is an individual acting wholly or mainly outside their trade, business, craft or profession.

A Business Customer includes companies, partnerships, sole traders, public bodies, charities, institutions, or any individual acting wholly or mainly for business, trade, professional or organisational purposes.

If you provide a business name, VAT number, business billing details, or use business payment methods, we may treat you as a Business Customer unless you clearly notify us before the contract is formed that you are purchasing as a Home User.

Different rights and remedies may apply depending on whether you are purchasing as a Home User or a Business Customer.

 


Basis of contract

All orders placed with Tek Direkt are subject to these Terms & Conditions of Sale, our Delivery, Returns, Refunds and Cancellation Policy, and any product-specific, supplier, distributor, manufacturer or third-party terms that apply to the goods or services ordered.

Many products sold by Tek Direkt are supplied on a back-to-back basis through our distributors and suppliers. This means that product availability, pricing, lead times, warranties, fulfilment arrangements and return rights may depend on supplier or manufacturer conditions. Certain products may be non-cancellable and non-returnable, and supplier terms may affect the warranties, returns procedures, remedies or support available in relation to a product.

By placing an order, you acknowledge and accept that these supplier and manufacturer conditions may apply.

 


Order acceptance

Your order constitutes an offer to purchase products or services from us. We may accept or reject any order at our discretion, including where products are unavailable, pricing or listing errors have occurred, supplier conditions have changed, payment cannot be authorised, or fraud, misuse or other risk concerns arise.

A binding contract is only formed when we confirm acceptance of your order. This may be by issuing an order confirmation, dispatch confirmation, invoice, or by otherwise expressly confirming that your order has been accepted.

Until that point, we are under no obligation to supply the products.

 


Pricing and pricing errors

We take reasonable care to ensure that pricing and product information displayed on our website is accurate, but errors may occasionally occur.

If we discover a material or obvious pricing error before accepting your order, we may cancel the order or contact you to offer the product at the correct price. If you do not wish to proceed at the corrected price, we will cancel the order and refund any payment already made.

Prices may change at any time before order acceptance. In the case of backorders, special order items, distributor-sourced products or products subject to supplier price changes, pricing may be adjusted prior to acceptance where permitted by law.

 


Payment

Payment must be made using the payment methods made available at checkout, unless we have agreed alternative payment terms with you in writing.

We reserve the right to require payment in full before dispatch, to refuse or cancel orders where payment is not received or cannot be authorised, and to suspend supply or withhold future deliveries where payment is overdue.

Where credit terms or invoicing arrangements are agreed with a Business Customer, payment must be made in accordance with the agreed payment terms. We reserve the right to suspend performance or cancel outstanding orders where payment obligations are not met.

 


Delivery

Delivery dates, dispatch estimates and lead times are provided for guidance only unless we expressly agree otherwise in writing. We do not guarantee delivery by any particular date unless specifically confirmed.

Risk in the goods passes to you upon delivery, or where you fail to take delivery, at the point delivery would have taken place.

You are responsible for inspecting the goods promptly on delivery and for reporting shortages, visible damage, incorrect items or other discrepancies within the timeframes set out in our Delivery, Returns, Refunds and Cancellation Policy. Failure to do so may affect your ability to make a claim, to the extent permitted by law.

 


Returns and cancellations

All returns, cancellations and refunds are governed by our Delivery, Returns, Refunds and Cancellation Policy, which forms part of these Terms & Conditions of Sale.

For clarity, Home Users may have statutory cancellation rights under consumer law, subject to the exclusions and conditions set out in that policy. Business Customers do not have automatic cancellation rights, and returns for Business Customers are generally discretionary unless goods are faulty, incorrect or otherwise required to be accepted by law.

By placing an order as a Business Customer, you agree that approved returns may be subject to supplier approval, restocking fees, supplier handling charges, cancellation charges, administrative charges, and any other return-related costs that are reasonably incurred or imposed by the relevant supplier or distributor.

Certain products are strictly non-cancellable and non-returnable, including special order products, configured or customised goods, software, licences and digital products once supplied, and cloud or subscription services once provisioned or activated.

 


Product use and customer responsibility

You are responsible for ensuring that the products you order are suitable for your intended use and compatible with your systems, devices, software and operating environment.

We do not provide warranties or assurances as to fitness for a particular purpose beyond those required by law. You are responsible for checking product specifications, compatibility, manufacturer information and any technical requirements before placing an order.

Products must be used in accordance with manufacturer instructions, safety guidance and any applicable product documentation. Except where prohibited by law, we are not liable for issues arising from misuse, incompatibility, improper installation, failure to follow instructions, or use of products outside their intended purpose.

 


Warranties

Products supplied by Tek Direkt are generally supplied with the benefit of any manufacturer warranty or support entitlement that applies to the relevant product.

Where applicable, you may be required to deal directly with the manufacturer, vendor or service provider in relation to warranty claims, technical support or product registration. In some cases, we may assist in facilitating warranty claims, repairs or returns, but any such assistance is subject to the relevant supplier, distributor or manufacturer process.

Except where required by law, Tek Direkt does not provide additional warranties, guarantees or support commitments beyond those expressly stated in writing.

 


Limitation of liability

Nothing in these Terms & Conditions of Sale excludes or limits liability where it would be unlawful to do so, including liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot legally be excluded.

If you are a Business Customer, then to the fullest extent permitted by law, we exclude liability for any indirect, incidental, special or consequential loss. This includes, without limitation, loss of profit, loss of revenue, loss of business, loss of contracts, loss of goodwill, loss of anticipated savings, or loss of data.

Our total aggregate liability to a Business Customer in relation to any product, order or service shall not exceed the amount actually paid by the Business Customer for the relevant product or service giving rise to the claim.

Nothing in this section affects the statutory rights of Home Users.

 


Data, software and security

You are responsible for backing up any data stored on devices or products before returning them, sending them for repair, or allowing access to them by us, a manufacturer or a service provider.

You must remove any personal, confidential or sensitive data from products before returning them wherever possible. Except where required by law, we are not liable for loss of data, corruption of data, or unauthorised access to data in connection with returned products, repairs, replacements or warranty processes.

 


Governing law and jurisdiction

These Terms & Conditions of Sale, and any dispute or claim arising out of or in connection with them, are governed by the laws of England and Wales.

If you are a Business Customer, the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these terms or your purchase.

If you are a Home User, you may also have the benefit of any mandatory consumer law rights relating to jurisdiction that apply in your place of residence within the United Kingdom.

 


Acceptance at checkout

By placing an order, you confirm that you have read and agree to these Terms & Conditions of Sale and our Delivery, Returns, Refunds and Cancellation Policy. You also confirm that you understand the distinction between Home User and Business Customer rights and that you accept any applicable supplier restrictions, return conditions, charges or limitations that apply to your order.

If you place an order as a Business Customer, you further acknowledge that orders are generally non-cancellable once accepted, that returns are discretionary unless otherwise required by law, and that restocking charges, supplier charges and return-related costs may apply.
